Terms of Sale

1. Purpose and scope
These Terms of Sale (“Terms of Sale”) govern subscribing to the Premium plan of the Hanori service, offered by E.I. PHILIPPE Kevin (the “Publisher”) to consumers within the meaning of the French Consumer Code. They supplement the Terms of Use, which remain applicable. Using the Free Plan involves no payment and falls outside the scope of these Terms of Sale.
2. Plans and pricing

Prices are stated in euros, all taxes included, at the French VAT rate applicable on the day of the order. For customers established in another EU member state, the VAT rate of the country of consumption applies. The content of each plan is described in article 5 of the Terms of Use.
3. No trial period
The Free Plan serves as the trial: it can be used indefinitely and without providing a payment method. No paid trial period is offered, and no charge is made without an express subscription.
4. Order and formation of the contract
Subscribing is done from the User’s account. Before confirming, a summary shows the plan chosen, the total price, the date of the first charge and its frequency. The order becomes final once these Terms of Sale are expressly accepted and payment is confirmed. A confirmation email is sent together with the corresponding invoice.
5. Payment
Payments are processed by our payment provider, Stripe Payments Europe, Ltd. The Publisher never has access to the full card number, which is held by the provider in accordance with the PCI-DSS standard. Payment is due upon subscribing, then on each anniversary date of the chosen billing period.
6. Renewal
The subscription renews automatically at the end of each period, for an identical duration, unless cancelled before that date. Under article L215-1 of the French Consumer Code, a User on an annual subscription is notified by email, at the earliest three months and at the latest one month before the renewal date, of their right not to renew the contract.
7. Right of withdrawal
Under article L221-18 of the French Consumer Code, a consumer User has fourteen days from the formation of the contract to exercise their right of withdrawal, without giving reasons or incurring a penalty, by writing to hello@hanori.app.
Where the User expressly requests that the service start immediately, before that period has elapsed, they acknowledge, under article L221-25 of the same code, that they will owe an amount proportionate to the service provided up to the point they communicate their withdrawal. Full waiver of the right of withdrawal is never requested for a digital service supplied on a continuous basis.
A refund is issued no later than fourteen days after the request is received, using the same payment method used for the order.
8. Cancellation by the User
The subscription can be cancelled at any time from the account settings, in no more than three clicks, in accordance with article L215-1-1 of the French Consumer Code. Cancellation takes effect at the end of the current, already-paid period; no pro-rata refund is due for the period already underway, except where the right of withdrawal is exercised or the Publisher is at fault.
9. Returning to the Free Plan
When the subscription ends, the account reverts to the Free Plan through a graceful downgrade: all existing data is kept and remains viewable, including archived sheets, tags and PDF files already uploaded. Only new Premium-tier creations are blocked, namely creating active projects beyond five, new tags, new PDFs and new archiving. The User is never prevented from viewing or exporting their own data.
10. Price changes
The Publisher may change its pricing. Any change is notified at least thirty days before it takes effect and only applies from the following renewal period onward. A User who declines the new price may cancel free of charge before that date.
11. Failed payment
If a charge fails, the Publisher notifies the User and retries for fifteen days. Absent resolution, the subscription is cancelled and the account reverts to the Free Plan under the conditions of article 9, with no data deleted.
12. Statutory guarantees
The Service is provided in accordance with articles L224-25-12 et seq. of the French Consumer Code on the supply of digital content and services. The User benefits from the statutory guarantee of conformity and may require that the Service be brought into conformity, failing which a price reduction or termination of the contract. These guarantees apply independently of any commercial warranty.
13. Customer service and complaints
Any complaint may be sent to hello@hanori.app. A response is provided within a reasonable time and no later than thirty days.
14. Consumer dispute resolution (mediation)
After a written complaint to the Publisher has gone unanswered satisfactorily, a consumer User may refer the matter free of charge to the mediator SAS Médiation Solution, 222 chemin de la Bergerie, 01800 Saint-Jean-de-Niost (sasmediationsolution-conso.fr) — a French/EU alternative dispute resolution scheme, broadly similar to what English-speaking readers may know as an ombudsman service — in accordance with article L612-1 of the French Consumer Code. The EU Online Dispute Resolution platform is also available.
15. Personal data
Billing data is processed to perform the contract and is retained for ten years to meet accounting obligations. Other processing is described in the Privacy Policy.
16. Governing law
These Terms of Sale are governed by French law, without prejudice to any more protective mandatory provisions of the consumer’s country of residence within the European Union.
